We are planning to move to Confluence download version from Confluence On-Demand. When Confluence 5.0 will be released?
I heard that Confluence On-Demand contents can't be imported to Confluence download version 4.3.
This is certainly not officially supported, but you can open the exported ZIP file, change the build number in the export and create the zip again.
As said, no guarantees that this works, but I did the trick for me when I migrated a single space from AOD to a local Confluence installation.

We wouldn't recommend this approach, because there are schema changes between versions that can cause inconsistent, incorrect or corrupt data.
We do know of one customer who was able to import into a previous version, but they enlisted the help of an Atlassian Expert and spent a lot of time looking into the upgrade tasks and how to revert them. There was a lot of customisation work and database manipulation involved.
If you do go down the path mentioned above, we'd recommend taking lots of backups before, and doing lots of testing after. If it does work for you, that's great, but as Stefan mentioned it's definitely not supported.

We too are planning on migrating in the first week of Jan. Can you tell me what you mean by 'contents' not being able to be imported please?

No. You might be lucky and be able to simply edit the version in an export, but it's not supported, and you may need to amend quite a lot to make it all work. That is why you do not use early-access or beta software for production.
(For what it's worth, I've got a 5.0 early release dataset to import fine in the 5.0 real release, but it was small and simple)

Here's a 5.0-m3 EAP release - yet no date has been announced for the full release.
Could be a while - just depends. Hard to say.
Will you move to managed hosting (with a download version) or self-host locally?
You can migrate your OnDemand version to download version. I wouldn't wait for Confluence 5 though - maybe easier to do now, and then upgrade when comfortable since it will be a big release - all the major releases are.
If you have managed hosting, they take care of that for you - and 24x7 support, monitoring, etc. Like OnDemand in that way, but also you can do plugins. Need help with that, other questions, or new licensing, email me.
