Doesproject Import replace existing data

I want to migrate few projects from another Jira instance which has different version. Also I want some changes in those projects. Does project import create projects,all schemes, fields automatically? Does this replace existing data? or just add data from xml?

Firstly if your JIRA instances have different versions, project import won't run. Also, yes it will replace your data. Take a look on this document for more informations.
